2011 Shareholder’s Meeting
Zion’s 2011 Annual Meeting of Stockholders was held in Dallas on June 21, 2011.
At the Annual Meeting, the following resolutions were voted on and it was agreed that:
(i) Victor Carrillo, Yehezkel Druckman, Paul Oroian and Marc Singer were elected as Class III Directors to serve a term of three years to expire at the 2014 Annual Meeting of stockholders or until their respective successors are duly elected and qualified.
(ii) Zion’s Amended and Restated Certificate of Incorporation should be amended, to increase the number of authorized shares of the Company’s common stock from 50,000,000 to 100,000,000 shares
(iii) The following Plans were approved:
(a) 2011 Equity Incentive Plan for employees and consultants.
(b) 2011 Non-Employee Directors Stock Option Plan.
(iv) Somekh Chaikin, a member of KPMG International, should be the Company’s auditors for the year ending December 31, 2011.
(v) There should be an annual advisory vote on executive compensation.
